Terms and Conditions for the Members Subscription

1. Introduction and Description of the Service
These Terms and Conditions (hereinafter “Terms and Conditions” or “T&Cs”) govern the relationship between Laureano del Rio, CUIT 23-4158924-89 (the “Designer”), and the client (the “Client”) regarding access to and use of the monthly subscription plan “Members.”
Hereinafter, the “Service” shall mean the monthly subscription to the “Members” plan, which includes professional graphic design services provided by the Designer and, if applicable, by collaborators selected under his supervision (the “Team”). These services include the creation of designs, graphic pieces, and original source files developed upon request by the Client (the “Projects”).

1 active request at a time
Delivery in 2–3 business days
Unlimited requests and revisions
Communication via Trello
Includes: social media, product design, landing pages, web design, framer websites, presentations, print materials, basic branding, unlimited stock photos, etc.
Unlimited brands
3. Service Exclusions
The plan does not include:
Code development
Audiovisual production or complex motion design (GIFs, etc.)
Advertising campaigns or marketing strategy
3D modeling
Document design (Word, PowerPoint, Excel, etc.)
Extensive print design (magazines, books, etc.)
Adobe InDesign files
Translations or multilingual adaptation
The Designer reserves the right to reject requests that fall outside the scope of the Service.
4. Duration, Payment, and Cancellation
Payment is made in advance, in U.S. dollars, through the LemonSqueezy platform (“the Platform”).
The minimum duration of the Service is one (1) calendar month (30 days) (“the Subscription Period”), starting from the date the Platform confirms that payment has been made by the Client. This date will be considered the first day of the Subscription Period.
The subscription to the Service renews automatically each month.
The Client may cancel the subscription at any time, without penalties, provided the cancellation applies to the following Subscription Period. No refunds will be issued for Subscription Periods already paid, even if the Service was not used.
5. Project Management and Communication
The only valid channel for requesting, tracking, and organizing Projects will be the Trello board enabled by the Designer for each Client. Only tasks uploaded to said board will be considered validly requested.
The subscription includes access to this board, which will be deleted if the Client cancels or does not renew the Service.
The parties may maintain complementary communication channels such as email, WhatsApp, or other platforms, as agreed. However, these will be for general coordination or information only and will not be considered valid channels for requesting or defining tasks.
6. Intellectual Property
All Projects are the exclusive property of the Client, who acquires full and unrestricted economic rights upon delivery.
If, by virtue of any law or legal interpretation, the Designer or Team retains any economic rights over the Projects, they hereby irrevocably, perpetually, and unconditionally assign all such rights and interests to the Client, including reproduction, distribution, public communication, transformation, and any other present or future uses.
The Client guarantees that all reference material, content, or inputs provided for the creation of a Project are owned by them or properly authorized. The Client is solely responsible for any third-party rights violations arising from such use.
Notwithstanding the transfer of rights, the Client authorizes the Designer and their Team—by accepting these T&Cs—to share and publish delivered Projects for promotional purposes only (portfolio, website, social media, or other professional channels), unless expressly stated otherwise in writing.
7. Confidentiality
All information, documents, materials, or content shared by the Client within the scope of the Service—including but not limited to business data, passwords, strategies, third-party information, or work resources—shall be considered confidential and treated as such by the Designer and their Team.
This information shall not be disclosed, published, reused, or used for any purpose other than developing the Project without prior written consent from the Client. This confidentiality obligation remains in force indefinitely, even after the Service ends, unless:
The information becomes public through no fault of the Designer or their Team, or
The Client expressly authorizes its use or disclosure.
For the purposes of this clause, Projects or final deliverables (e.g., graphic pieces, designs, or source files) intended for publication or dissemination by the Client shall not be considered confidential unless the Client explicitly states otherwise in writing.
8. Liability
The Designer shall not be liable for:
Commercial, financial, or branding results derived from the delivered Projects.
Errors, omissions, or infringements resulting from content, images, text, or inputs provided by the Client, who declares ownership or appropriate licensing.
Delays or failures in delivery when caused by incomplete information, untimely collaboration, or mid-project changes by the Client.
Any use of the Projects by the Client or third parties that violates the law, public order, third-party rights, or these T&Cs.
Claims from third parties related to copyright, trademarks, image rights, etc., resulting from materials supplied by the Client or unauthorized subsequent uses.
The Designer does not guarantee that designs will be free from legal disputes if the Client incorporates unlicensed or unauthorized elements. The Client assumes full responsibility for such situations.
9. Use of Artificial Intelligence (AI) Tools
The Designer may use AI tools to support the creative process, writing, ideation, illustration, or editing of visual or text content. Among these tools is ChatGPT Plus.
The use of these tools does not imply automation or replacement of professional oversight. All AI-generated content will be reviewed, refined, and validated by the Designer before delivery.
The Client accepts the use of these technologies as part of the workflow, without reducing the Service’s value or professionalism.
10. Jurisdiction and Governing Law
These Terms and Conditions shall be governed and interpreted in accordance with the laws of the Republic of Argentina. The parties agree to submit to the jurisdiction of the ordinary courts of the City of Buenos Aires, expressly waiving any other applicable jurisdiction unless otherwise provided by law or mutual agreement.
11. Right to Change These Terms
The Designer reserves the right to modify these T&Cs at any time at their sole discretion. If substantial changes are made, the Client will be notified accordingly.
12. Personal Data Protection
The personal data provided by the Client will be used solely for identification and Service delivery purposes. They will not be shared with third parties or used for any unrelated commercial purposes. By accepting these Terms, the Client consents to such processing.
